Parler Vendor Terms and Conditions

Parler Cloud Technologies and its affiliates (“PCT,” “Company,” “Parler,” “Parler Shop,” “we,” “our,” and/or “us”) operate and manage the Parler Shop platform. These Vendor Terms and Conditions (“Terms”) govern the relationship between Parler Shop and vendors who register and conduct business on our platform. By registering as a vendor and using the platform, you acknowledge and agree to comply with these Terms, which outline your obligations, responsibilities, and rights when listing products, managing transactions, and engaging with customers.
We strongly encourage you to review these Terms carefully, as they establish the foundation for a secure and professional environment for all parties. If you do not agree to these Terms, you are not authorized to register or operate as a vendor on Parler Shop. Your continued use of the platform constitutes your acceptance of and adherence to these Terms.
1. Vendor Eligibility and Registration
- Account Requirements: Vendors must provide complete and accurate business information, including valid registration details, contact information, and a verified payment account. Failure to provide accurate information may result in suspension or termination of the vendor account.
- Compliance with Laws: Vendors must comply with all applicable local, state, and federal laws, including those related to e-commerce, consumer rights, product safety, and data protection. Non-compliance may lead to account suspension or legal action.
2. Product Listings and Standards
- Product Accuracy: Vendors are required to provide clear, accurate descriptions and images for each product. Misleading or false representations of products are strictly prohibited and may result in listing removal and penalties.
- Prohibited Items: Vendors are not permitted to sell certain restricted items, including but not limited to counterfeit goods, hazardous materials, regulated products (e.g., alcohol, tobacco), and any items deemed illegal or unsafe under applicable laws. Vendors must comply with Parler’s Prohibited Product Guidelines.
3. Vendor Fees and Payment Processing
- Commission and Fees: Parler does not charge a standard commission rate per sale but reserves the right to apply a flat rate or percentage fee, or a combination of both, at the discretion of the Parler admin team. Any changes in fee structures will be communicated to vendors with prior notice.
- Payment Disbursement: Payments for completed sales are processed through WooCommerce. Earnings will be disbursed to vendors on a bi-weekly basis. Vendors must ensure that their payment information is accurate and up-to-date. Parler is not responsible for delays or errors caused by incorrect vendor payment details.
4. Shipping and Fulfillment
- Shipping Standards: Vendors are responsible for shipping orders within the specified timeframe listed on each product page. Tracking information must be provided to customers to ensure transparency and allow for order monitoring.
- Responsibility for Shipping Errors: Vendors are fully responsible for any errors in shipping, including incorrect addresses, delayed shipments, lost packages, or damaged goods. Vendors must take all necessary precautions to ensure accurate and timely fulfillment of orders. In the case of shipping issues, vendors are required to resolve the problem and may be liable for reshipping costs or issuing refunds to the affected customer.
- Delayed Shipments: In the event of a shipping delay, vendors must notify both the customer and Parler within 24 hours, providing an updated delivery estimate. Vendors failing to comply with shipping standards may face penalties, including account suspension.
5. Returns, Refunds, and Dispute Resolution
Return and Refund Policy: Vendors must adhere to Parler’s Return and Refund Policy as stated in the platform’s Terms and Conditions.
- Return Eligibility: Customers may request returns within 14 days of receiving their order. Items must be in original condition, unused, and in the original packaging to qualify for a refund.
- Non-Returnable Items: Certain items, including perishable goods, personalized products, and items marked as “final sale,” are not eligible for returns. Vendors must clearly indicate non-returnable items on product listings.
- Return Process:
- Customers initiate a return request through their Parler account.
- Vendors must review and respond to return requests within two (2) business days.
- Approved returns are shipped back by the customer, with return shipping costs covered by the vendor if the item was incorrect or defective.
- Refunds are processed within five (5) to seven (7) business days after the returned item is received and inspected.
- Refund Conditions: Approved refunds will be issued to the customer’s original payment method. Processing may take up to ten (10) business days, depending on the financial institution. Refunds are not issued for items damaged due to customer misuse.
6. Customer Disputes
- Vendors are required to address customer complaints within two (2) business days. Failure to resolve disputes promptly may result in Parler intervening on behalf of the customer, which could include issuing refunds directly and taking action against the vendor.
- Repeated customer complaints may lead to penalties, including temporary suspension or permanent termination of the vendor account.
7. Legal Disclaimer and Indemnity
- Disclaimer of Warranties: All services provided by Parler, including access to the Parler Shop platform, vendor management tools, and payment processing services, are offered on an “as is” and “as available” basis. Parler makes no representations or warranties of any kind, express or implied, as to the operation of the platform, the accuracy or completeness of product listings, or the quality and safety of products sold by vendors. Parler expressly disclaims all warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Vendors acknowledge that their use of the Parler Shop platform is at their own risk.
- Limitation of Liability: To the fullest extent permissible by law, Parler shall not be liable for any direct, indirect, incidental, special, punitive, or consequential damages arising out of or related to the use of the Parler Shop platform, the performance of services, or any products sold by vendors. This includes, but is not limited to, damages for lost profits, loss of business, interruption of business, or any other financial loss, even if Parler has been advised of the possibility of such damages. Parler’s aggregate liability to any vendor shall not exceed the total fees paid by the vendor to Parler within the preceding six (6) months.
- Vendor Liability and Indemnity: Vendors agree to indemnify, defend, and hold harmless Parler, its affiliates, officers, directors, employees, agents, and representatives from and against any and all claims, liabilities, losses, damages, expenses, fines, penalties, or legal costs (including reasonable attorneys’ fees) arising out of or related to:
- Any breach of these Vendor Terms and Conditions by the vendor;
- Any actual or alleged infringement of intellectual property rights, including trademarks, copyrights, or patents, related to the vendor’s products or listings;
- Any misrepresentation, false advertising, or failure to comply with applicable product safety, labeling, or consumer protection laws;
- Any product defects, safety issues, or damages resulting from the sale, shipment, or use of the vendor’s products;
- Any claims or disputes arising from customer complaints related to the vendor’s products or fulfillment practices.
Vendors acknowledge that Parler does not assume any responsibility for verifying the accuracy of product listings or the legality of products offered for sale by vendors. Parler reserves the right, but has no obligation, to monitor, review, or remove any vendor content, product listings, or user interactions on the platform.
8. No Agency or Partnership
The relationship between Parler and vendors is that of independent contractors. Nothing in these Terms shall be construed to create an agency, partnership, joint venture, or employment relationship between Parler and any vendor. Vendors are solely responsible for their business operations, including product quality, compliance with applicable laws, and interactions with customers.
9. Governing Law and Jurisdiction
These Vendor Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles. Any disputes arising out of or related to these Terms or the use of the Parler Shop platform shall be exclusively resolved in the state or federal courts located in New York County, New York. Vendors waive any objections to venue or jurisdiction in these courts.
10. Force Majeure
Parler shall not be held liable for any delay or failure to perform its obligations under these Terms due to events beyond its reasonable control, including, but not limited to, acts of God, natural disasters, pandemics, war, terrorism, labor disputes, government actions, power outages, or interruptions in internet service.
Notices
Notices are formal written communications under this Agreement. Parler Shop will send notices to the Vendor’s Notification Email Address, and the Vendor will send notices to [email protected]. Notices are deemed received when sent. The Vendor must keep their Notification Email Address current during the Agreement term with Parler Shop.
11. Vendor Conduct and Compliance
- Prohibited Conduct: Vendors are prohibited from engaging in fraudulent activities, manipulating reviews, or infringing on intellectual property rights. Any violation of these rules may result in immediate suspension or termination of the vendor account.
- Account Suspension: Parler reserves the right to suspend or terminate vendor accounts that violate these Terms or are flagged for repeated customer complaints or violations of legal obligations.
12. Liability and Indemnity
- Vendors agree to indemnify, defend, and hold Parler, its affiliates, and its representatives harmless from any claims, damages, losses, or legal fees arising from or related to their product listings, fulfillment practices, customer service, or any breach of these Terms.
- Parler disclaims any liability for vendor products, including issues related to product quality, safety, or customer satisfaction. Vendors are solely responsible for ensuring compliance with applicable laws and regulations.
13. Updates to Vendor Terms
Parler reserves the right to update or amend these Vendor Terms and Conditions at any time. Vendors will be notified of any significant changes, and continued use of the platform signifies acceptance of the updated terms. If any part of these Terms is deemed unenforceable, the remaining sections will continue to apply.
